The Directors act only as a Board and individual directors have no power independently or outside of the Board. All authority emanates from the Board; and all official acts and decisions of the officers are only by authority of the Board.
The members of the Board of Directors are elected for a term of two years. They do not serve for a longer period without reelection; and no one serves for more than four consecutive years as a Board Director.
If a Board member absents himself without justifiable reason for three consecutive regular meetings of the Board, he is then deemed resigned and the Board initiates action to obtain a replacement. A member serving as a Board Director, whose job circumstances no longer permit him to further discharge his duties as a Board Member effectively for the unexpired portion of his term, is immediately after the Board confirms the same and serves notice to him, deemed resigned.
A vacancy in the Board of Directors is filled up automatically by candidates for Board membership in the last general elections with the next highest number of votes, in the sequence of or in accordance with, their ranking or showing in the last elections. A Director who fills a vacancy under this provision serves only for the unexpired term of his predecessor.

Duties and Functions of the Board
In order to serve better the interests of the collective membership of AGSBAAI, the Board has the following duties and functions:
1. Get the theme and determine the program priorities for the current fiscal year that will further promote the objectives of AGSBAAI and promote the interests of the collective membership.
2. Identify, approve, finance and implement projects that promote, operationalize, or support the theme and program priorities for the year.
3. Maintain a current roster or directory of members in good standing; vigorously undertake a membership recruitment campaign and enforce collection of membership fees and other assessments.
4. Ensure continuity in the existence, operations, and financial viability of AGSBAAI.
5. Maintain the goodwill and good image of AGSBAAI and its collective membership, as well as cultivate good relations with its different publics.
6. Review and pass upon recommendees for Honorary Membership.
7. Review and update membership policies and criteria therefore, membership fee schedules, and the inventory of other membership assessments.
8. Encourage maximum participation in conceptualization and implementation of AGSBAAI activities.
9. Develop, update, implement and enforce financial controls, purchasing procedures and approvals manuals, as well as election rules and procedures for Board members and AGSBAAI officers, and a manual for administrative sanctions and disciplinary action for different types of offenses for officers and members, fleshing out criteria for any selection and approvals function.
10. Develop effective means of informing general membership regularly of Board decisions, AGSBAAI activities, etc.
11. Develop a program of benefits or privileges to which the individual member may be entitled to during the year by virtue simply of his being a member in good standing.

Powers of the Board
In exercising its function to determine the annual program thrusts of AGSBAAI, discharge its duties and functions, and to effectively implement its projects, the Board has the following powers:
1. Exercise all powers allowed under the New Corporation Code.
2. Create the following permanent standing Committees:
a. Events Committee
b. Communications/Website Committee
c. Membership Development
d. Social Involvement/Service Committee
e. Finance Committee
f. Benefits Committee
g. Education Committee
3. Create standing or special committees as exigencies may from time to time warrant, in order to attain AGSBAAI’s objectives and to protect its interests.
4. Require any committee chairman, through the President, to submit a budget and a program of, and periodic progress reports on, activities and priorities of each committee for the current fiscal year.
5. Discipline, suspend or expel any member for cause.

Duties and Functions of the Officers
The President is the Chief Executive Officer of the Association and exercises the following powers:
1. Preside over all meetings of the Board of Directors and general membership meetings of AGSBAAI. However, in a general membership meeting, whether regular or special, where members of the Board are to be elected, the incumbent Board may elect a temporary Presiding Officer for the duration of the said meeting only.
2. Appoint, with the concurrence of a majority vote of the members of the Board, the Chairman and members of all standing or special committees. He may, however, delegate the power to appoint committee members to the respective Chairmen.
3. Be a signatory to all contracts, documents and agreements of AGSBAAI, with power to substitute himself or delegate the same in writing to such other officers of AGSBAAI as he may deem proper.
4. Execute or cause to be executed the policies and resolutions adopted by the Board of Directors.
5. Reports accomplishments and financials to the Board and General Membership at least once a year.
The Vice-President has the authority and exercises the power as may, from time to time, be delegated by the Board of Directors in addition to the powers delegated by the President. He exercises the powers and discharge the duty of the President in case of the latter’s absence or incapability.
The Secretary issues notices of all meetings, maintains the corporate seal of the Association, and keeps a record of proceedings of the Board of Directors and of the members.
The Treasurer receives and deposits the funds of the Association in a bank or banks as the Board of Directors may direct; acts as the custodian of the funds, properties and assets of the Association; and is the ex-officio chair of the Finance Committee.
The Auditor ensures that the recording and reporting of financial transactions are undertaken according to accepted standard accounting and auditing principles, and are not fraudulent and notifies the Board of any anticipated problems connected therewith.
The Public Relations Officer undertakes all functions necessary to achieve the public relations aspirations of AGSBAAI as defined by the Board; and proposes, for consideration of the Board, a Public Relations theme and program covering the different fiscal year activities.
